PATRIZIA Immobilien AG increases voluntary public offer price
On 15 April 2015, PATRIZIA Immobilien AG (ISIN DE000PAT1AG3) submitted a voluntary public offer, using an appropriate acquisition vehicle, to the owners of each of a Norwegian and a Swedish company (Boligutleie Holding III AS and Hyresfastigheter III Gul AB) to acquire their shares in each of the companies.
Augsburg, 6 May 2015. In relation to the offer made to the shareholders of Boligutleie Holding III AS, PATRIZIA Immobilien AG will act together with a co-investor. Boligutleie Holding III AS and Hyresfastigheter III Gul AB hold all shares in the real estate fund Hyresbostäder i Sverige III Gul AB, which holds residential property portfolios.
Initially, the offer provided for a cash amount of NOK 9.00 as consideration for 1 tendered share in Boligutleie Holding III AS, and for a cash consideration of SEK 9.80 for 1 tendered share in Hyresfastigheter III Gul AB. Pursuant to a management board resolution of PATRIZIA Immobilien AG as of today, the respective voluntary public offer price was increased by NOK 1.55 to NOK 10.55 as consideration for 1 tendered share in Boligutleie Holding III AS, and by SEK 4.55 to SEK 14.35 per 1 ordinary share tendered and in the amount of SEK 0.20 to SEK 10.00 per 1 B share tendered in Hyresfastigheter III Gul AB. Further, PATRIZIA decided to extend the offer period until 13 May 2015.
