As Regulatory and Governance Project Officer (m/f/d) you will play a key role within our team in Luxembourg.

Your main responsibilities

  • Enhancing the governance arrangements of the AIFM, which includes the following:
    • Preparation of Exco/ Board of Management meeting (packs) & minutes in collaboration with team colleagues. This entails but not limited to:
      • Managing and preparation of meeting documents;
      • Co-ordination of checking completeness of submission and follow-up;
      • Minute taking of the meetings of conducting officers;
      • Helping to organize topics for the board; and,
      • Delivering on ad-hoc requests from the board .
    • Periodically review the Terms of References of the Board and Exco.
    • Help to maintain the AIFM’s policy & procedures library and ensure (at least annually), updates through departments and approval by AIFM board or Exco.
    • Support in regulatory reporting matters (regulatory filings and questionnaires).
    • Work with Compliance to analyze new regulatory requirements and initiate appropriate action plans to implement those.
    • Answer or support/ coordinate answers to all kind of questionnaires from Central Admins/ Depositories/ Banks or supervisors.
    • Helps to manage the Governance Framework policy incl. all Terms of References of local committees (Valuation, Portfolio Management, Exco), the annual schedules / planning of the meetings
  • Enhance internal controls environment of the AIFM:
    • Attend training sessions and inform the Internal Controls Director of instances where controls may not be operating; and,
    • Participate in the group wide efforts to enhance the controls environment, e.g. analyze internal and processes policies of the AIFM, coordinate with other group AIFMs in view to harmonize processes and policies as far as possible.
  • Support the implementation of new processes in the AIFM and the documentation of existing processes.
  • Steering of internal audits: being the primary local point of contact for the (delegated) internal auditor and coordinate with local colleagues and other group departments in Germany, UK, Italy etc.
  • Inform the board and the conducting officers of the AIFM on the open issues from internal audits, internal gap analysis, control reports etc., prioritize issues, initiate appropriate action to close open issues, monitor progresses in closing such issues.

Supportive responsibilites

These are not part of the main responsibilities but postholder will need to be able to perform some of these when required by business needs.

  • Attend the valuation committee.
  • Support with the AIFM ISAE 3402 audits.
  • Participating in Due Diligence processes of prospective client or service providers.
  • Support data maintenance of Salesforce system (Fund and Risk related content).
  • Support Risk Management in ad-hoc tasks.
  • Corporate secretarial tasks.
  • Support monitoring of outsourcing partners

What we look for

  • Completed Master or BA in Business Administration/Economics or Law
  • 3-5 years of relevant working experience
  • Excellent English language skills
  • Good knowledge of German would be an asset
  • Professional handling with the current MS-Office software
  • Excellent teamwork and communication skills
  • High flexibility and resilience as well as good organizational skills
  • Ability to work independently and self-responsible
